1. Acceptance of Terms

These Terms form a binding agreement between you and [LEGAL ENTITY NAME]. You accept them when you register for an account, sign in, or otherwise use the Service.

If you use the Service on behalf of an organization, school, or employer, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

We may provide additional guidelines, product notices, or feature-specific rules within the Service. Those supplements are incorporated into these Terms where they apply.

2. Eligibility

The Service is intended for learners who can understand and agree to these Terms. You must be at least 16 years old to create an account and use the Service.

If you are under the age required to consent to data processing or online services in your country, you may use the Service only with the consent and supervision of a parent, guardian, or authorized educator who accepts these Terms on your behalf.

You represent that the information you provide during registration is accurate and that you will keep it up to date.

3. Description of the Service

AYANA provides educational tools and AI-assisted mentoring for learning purposes. The Service is designed to support skill-building in areas such as product thinking, engineering, growth, and digital security through structured learning flows.

Core features include AI mentors that offer coaching-style guidance, Studio workspaces where you can draft and organize project artifacts, and Co-Lab spaces where you may share work and receive feedback from peers or mentors, subject to your settings and permissions.

We may add, change, or remove features over time. Availability of certain tools, languages, or integrations may vary by region, account type, or release phase.

  • AI mentors: conversational guidance tailored to learning goals and mentor personas within the platform.
  • Studio: structured tools to capture ideas, plans, drafts, and project materials as you learn.
  • Co-Lab: optional collaboration features for sharing selected work and receiving feedback.

4. AI Disclaimers and Educational Purpose

AYANA uses artificial intelligence to generate responses, suggestions, examples, and drafts. AI output is provided for educational and informational purposes only. It is not professional, legal, financial, medical, psychological, employment, or other specialized advice.

AI systems can produce incorrect, incomplete, outdated, or misleading content, including "hallucinations" that may appear confident but be factually wrong. You are responsible for reviewing, verifying, and applying any output before relying on it for decisions, submissions, assessments, or real-world actions.

Mentor personas and coaching language are designed to support learning. They do not create a human professional relationship, guarantee outcomes, or replace qualified instruction, supervision, or expert review where that is required.

5. Accounts and Authentication

To use most features of the Service, you must create an account. Authentication is provided through Auth0 or a similar identity provider we designate. You may sign in using the email-based or other authentication methods we make available.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at contact@daetis.ai if you suspect unauthorized access or a security incident involving your account.

We may suspend or refuse registration where we reasonably believe an account would violate these Terms, create security risk, or be used in bad faith.

6. Acceptable Use

You agree to use the Service lawfully, respectfully, and only for legitimate educational or collaboration purposes. You must not misuse the platform or interfere with others' ability to learn.

Without limiting the foregoing, you must not attempt to access accounts, data, or systems without authorization; probe or scan the Service for vulnerabilities; scrape or harvest content except as permitted by us; upload malware or harmful code; or use the Service to generate or distribute unlawful, harassing, hateful, exploitative, deceptive, or infringing material.

  • Do not attempt to bypass safety controls, rate limits, access restrictions, or mentor boundaries.
  • Do not use the Service to cheat on exams, misrepresent authorship where prohibited, or impersonate another person.
  • Do not submit content that violates the rights of others or applicable law.
  • Do not use automated means to interact with the Service except through interfaces we expressly authorize.

7. User Content and License to Host

"User Content" means information, text, files, prompts, drafts, comments, and other materials you submit, upload, or create through the Service, excluding AI-generated output addressed separately below.

You retain ownership of your User Content as between you and us, subject to the rights you grant in these Terms and the rights of other users where you choose to share content.

To operate, secure, improve, and display the Service, you grant [LEGAL ENTITY NAME] a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, translate, display, and distribute your User Content solely as needed to provide and improve the Service, enforce these Terms, comply with law, and maintain backups and logs.

You represent that you have the rights necessary to submit your User Content and that doing so does not violate any law or third-party rights.

8. AI Output and Intellectual Property

Subject to these Terms and applicable law, you may use AI-generated output from the Service for your personal learning and project work. We do not claim ownership of output generated specifically for you in response to your prompts, except for any underlying Service software, models, templates, or pre-existing materials we provide.

Because AI output may be similar for different users and may incorporate general knowledge, we cannot guarantee that output is unique, original, or free from third-party claims. You are responsible for how you use, publish, or submit AI-assisted work, including compliance with academic integrity rules, employer policies, or platform terms that apply to you.

The Service, including its software, design, branding, mentor personas, curriculum structure, and documentation, is owned by [LEGAL ENTITY NAME] or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Co-Lab Sharing and Collaboration

Co-Lab features allow you to share selected content with peers, mentors, or other participants according to the sharing options available in the product. Sharing is optional and controlled by your actions and account settings.

When you share User Content in Co-Lab, you understand that recipients permitted by your sharing settings may view, comment on, or reuse that content within the Service as the feature allows. Share only what you are comfortable making visible to the intended audience.

We may remove or restrict shared content that violates these Terms, creates safety concerns, or is reported in good faith. We do not guarantee that every participant will respond, review, or protect your shared materials beyond what is described in our Privacy Policy and product settings.

10. Third-Party Services

The Service relies on third-party providers to operate. These may include Auth0 for authentication and OpenAI API Enterprise or similar providers for AI functionality, hosting, analytics, email, and other infrastructure.

Your use of those services through AYANA is subject to these Terms and, where applicable, the third parties' own terms and policies. We select providers with care and require appropriate contractual protections where feasible, but we do not control third-party services and are not responsible for their independent acts or outages.

Links or references to external websites, tools, or resources are provided for convenience and do not constitute endorsement unless we say so explicitly.

11. Privacy and Data Use

Our Privacy Policy explains how we collect, use, store, and share personal data when you use the Service. Please see our Privacy Policy at ayanalab.com/privacy.

We process data as needed to provide mentoring, Studio, and Co-Lab features, maintain security, improve the product, and comply with law. We do not sell your personal data.

Some processing may involve service providers or infrastructure located outside your country. Where required, we apply appropriate safeguards as described in our Privacy Policy.

12. Suspension and Termination

You may stop using the Service at any time. You may also request account closure by contacting contact@daetis.ai, subject to retention requirements described in our Privacy Policy.

We may suspend or terminate your access, in whole or in part, if we reasonably believe you violated these Terms, created risk for us or other users, or if we discontinue the Service or a feature.

Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will remain in effect, including those relating to intellectual property, disclaimers, limitations of liability, and governing law.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet any particular learning outcome.

We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are not permitted by law.

Educational progress depends on many factors outside our control, including your effort, context, and how you apply guidance from mentors, Studio, and Co-Lab.

14. Limitation of Liability

To the fullest extent permitted by applicable law, [LEGAL ENTITY NAME] and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or learning opportunities, arising out of or related to your use of the Service.

To the fullest extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars (USD 100), if you used a free tier or paid nothing.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Changes to These Terms

We may update these Terms from time to time to reflect product changes, legal requirements, or operational needs. When we make material changes, we will provide notice through the Service, by email, or by other reasonable means.

The "Last updated" date at the top of this page indicates when these Terms were most recently revised. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms, unless applicable law requires a different form of consent.

If you do not agree to updated Terms, you must stop using the Service.

16. Governing Law, Contact, and General Information

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country require otherwise.

Questions about these Terms or the Service may be sent to contact@daetis.ai. Privacy-related requests should be sent to privacy@daetis.ai.
